Job Description

Board Governance and Compliance: Organize and manage all aspects of board meetings, including agenda preparation, documentation, and follow-up on action items. Prepare accurate and detailed minutes of board and committee meetings, ensuring compliance with regulatory standards and internal protocols. Advise the board and executive management on corporate governance matters, including regulatory changes, best practices, and emerging trends.

Legal and Regulatory Compliance: Monitor and interpret relevant laws, regulations, and listing requirements applicable to the company's operations in various jurisdictions. Coordinate with legal counsel and regulatory authorities to ensure timely filings, disclosures, and compliance with reporting obligations. Conduct periodic reviews of corporate governance policies and procedures to mitigate legal and regulatory risks.

Stakeholder Communication and Relations: Serve as the primary point of contact for shareholders, regulators, and other external stakeholders on corporate governance and compliance matters. Facilitate effective communication between the board, management, and shareholders, responding promptly to inquiries and requests for information. Assist in the preparation and dissemination of annual reports, proxy statements, and other shareholder communications.

Corporate Records Management and Documentation: Maintain accurate and up-to-date records of corporate governance documents, including board resolutions, charters, and corporate policies. Ensure proper maintenance and accessibility of corporate records in accordance with legal and regulatory requirements. Oversee the execution of legal documents, contracts, and agreements in collaboration with internal stakeholders and external advisors.

Risk Management and Internal Controls: Collaborate with risk management and internal audit functions to identify, assess, and mitigate governance-related risks. Implement robust internal control mechanisms to safeguard the integrity of corporate governance processes and financial reporting. Participate in the review and enhancement of risk management frameworks and compliance procedures as needed
